A friend said: "Michael is infatuated with Jennifer. He is doing whatever he can to win her over."
Jackson told pals: "I know how to treat her like a lady. I'm so much better for her than Puff Daddy."
The friend added: "Jennifer has reacted politely to his overtures. But she isn't planning on dumping Puffy Combs for him."
One reason behind Jacko's infatuation is an on-going feud with Combs, who is charged with gun possession and bribery in the wake of a New York shooting incident.
Combs worked on 41-year-old Jackson's latest album and the two did not get along in the studio.
An insider said: "Michael was his usual difficult self.
"His ego is so distorted that he just can't take constructive criticism about anything, especially his music."

POP star Jamelia has just scored her biggest chart hit with the single Money, but she has been banned from shopping with the proceeds.
A spokesman for her record company, Parlophone, said: "We've told all of our drivers that, when they're taking her to radio interviews or photo- shoots, not to stop off en route."
For the sexy star has missed promotional dates because she's a shopaholic. She splashed out pounds 1000 in one 15- minute visit to Topshop and Niketown in London's West End.
A Parlophone insider said: "Last week, Jamelia was on her way to an interview when she told her driver to stop off at Niketown. She bought five pairs of trainers in one go, then went into Topshop and bought a selection of tops."
Now Jamelia, 19, has been ordered not to go near her favourite fashion stores. She told me: "How am I going to be able to stay away? I'm a shopaholic. I'll go crazy."
Jamelia began singing at 12 when her dad bought her a karaoke machine. A talent scout from Parlophone heard her singing along to Frank Sinatra's hit, New York, New York, and offered her a record deal on the spot.
Jamelia said: "I can't believe that what started out as a bit of karaoke fun ended up with Money going straight into the chart at No. 5."
NO wonder Tom Jones looks a wee bit bleary- eyed in the video for his latest single, Mama Told Me Not To Come.
The record, a cover of the classic Three Dog Night hit, is a duet with his namesake, Kelly Jones of The Stereophonics.
The Jones-boyos shot the video after a 48-hour pub crawl.
The Stereophonics had flown to Las Vegas to catch the Welsh superstar's act at the MGM Grand Hotel.
They then joined him on a boozy binge which stretched all the way from Vegas to Los Angeles.
And the video has a surprise cameo appearance from Johnny Depp, who dropped by the shoot for a quick drink - and stayed on to enjoy the party.
